Terms of Service

By accessing or using InkPal ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legal agreement between you and Upgrow Softwares LLP ("Company", "we", "us") regarding your use of InkPal, including the MCP server, CLI tools, Dart packages, and any associated services.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use InkPal for your internal development purposes.

Free Tier: You may use the free tier of InkPal at no cost, subject to the feature limitations described on our pricing page. The free tier is provided "as is" without any service level guarantees.

Paid Plans (Pro, Team): Paid subscriptions provide access to additional features, higher usage limits, and priority support as described on our pricing page. Your subscription renews automatically unless cancelled before the renewal date.

License Keys: Each license key is issued to a single user and may not be shared, resold, or transferred. We reserve the right to revoke keys that violate these terms.

You agree not to:

• Reverse engineer, decompile, or disassemble the Service or its components
• Redistribute, sublicense, or resell the Service or license keys
• Use the Service to build a competing product or service
• Circumvent any license validation, rate limiting, or access control mechanisms
• Use the Service for any illegal or unauthorized purpose
• Transmit malicious code, interfere with service infrastructure, or attempt unauthorized access
• Remove or alter any proprietary notices, labels, or marks on the Service

Paid subscriptions are billed through Razorpay, our authorized payment processor. By subscribing to a paid plan, you agree to:

• Provide accurate and complete billing information
• Pay all fees associated with your selected plan
• Accept that fees are non-refundable except as required by applicable law or as described in our refund policy

Pricing Changes: We may adjust pricing with 30 days' notice. Existing subscriptions will be honored at the current rate until the next renewal cycle after the notice period.

Failed Payments: If a payment fails, we will attempt to process it again. After repeated failures, your account may be downgraded to the free tier.

By You: You may cancel your subscription at any time through your account dashboard or by contacting support@inkpal.ai. Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.

By Us: We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees. In cases of severe violation, termination may be immediate without notice.

Effect of Termination: Upon termination, your license to use paid features ends. Any data stored on our servers related to your account will be retained for 30 days, after which it may be permanently deleted.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Upgrow Softwares LLP, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not fully apply to you.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify active subscribers via email at least 14 days before changes take effect
• Post a notice on our website

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you should discontinue use of the Service.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts located in India.
